Acceptance of Terms By accessing or using MOD Developments’ website, platforms, services, or client portal (collectively, the “Services”), you agree to be legally bound by these Terms & Conditions. If you do not agree, you must not use the Services. ________________________________________ 2. Scope of Services MOD Developments provides, but is not limited to: • Software development services • Web and mobile applications • Client management portals • API integrations • Technical consulting and system design Specific services may be governed by separate agreements, proposals, or contracts, which shall take precedence where applicable. ________________________________________ 3. User Accounts • Users may be required to verify their account to access certain features. • You are responsible for maintaining the confidentiality of your login credentials. • MOD reserves the right to suspend or terminate accounts for misuse, unauthorized access, or violation of these Terms. ________________________________________ 4. Intellectual Property • All code, systems, designs, documentation, and deliverables developed by MOD remain the exclusive property of MOD Developments, unless explicitly agreed otherwise in writing. • Clients are granted a limited, non-exclusive, non-transferable right to use the delivered product or system strictly for its intended business purpose. • Access to source code is not included by default and shall only be granted if explicitly stated in a signed agreement. • Unauthorized reproduction, resale, sublicensing, or redistribution is strictly prohibited. ________________________________________ 5. AI-Assisted Brand & Creative Services • MOD’s brand-related and creative services are delivered through an AI-assisted production model that may include proprietary workflows, generative artificial-intelligence systems, automation tools, licensed software, templates, and professional human review and creative direction. • This section applies to presentations, pitch decks, layouts, corporate documents, brand manuals, visual guidelines, social-media grids, campaign materials, templates, and other brand-related deliverables. ### Two-Variation Model • Unless explicitly stated otherwise in a signed proposal or agreement, each agreed creative task includes a strict maximum of two initial variations. • The two variations represent alternative creative directions for the same task and shall not be considered two separate projects, campaigns, brand identities, or complete deliverables. • The client must select one variation for further development. Any included revisions shall apply only to the selected variation. • Combining both variations, requesting additional variations, changing the approved direction, replacing the original brief, reversing a previous approval, or requesting additional formats, pages, slides, posts, or deliverables shall be considered additional work and may require additional fees and an adjusted delivery schedule. • The number of revision rounds included shall be limited to the number specified in the applicable proposal, package, or agreement. No unlimited revisions are included unless expressly confirmed by MOD in writing. ### Brand Alignment and Client Materials • MOD will use reasonable professional efforts to align deliverables with the client’s existing identity based on the latest brand materials, guidelines, content, and source files provided by the client. • MOD shall not be responsible for inconsistencies resulting from incomplete, outdated, inaccurate, conflicting, inaccessible, or low-quality materials supplied by the client. • The client represents that it owns or has obtained all necessary permissions for any logos, fonts, photographs, videos, trademarks, text, references, data, or other materials supplied to MOD. • The client shall be responsible for claims arising from client-provided materials, instructions, references, commercial claims, or requested content that infringes third-party rights or violates applicable law. ### Intellectual Property and Working Materials • All prompts, AI workflows, generation methods, templates, systems, methodologies, design processes, reusable components, drafts, working files, internal documentation, and production techniques remain the exclusive property and confidential know-how of MOD. • Rejected, unused, preliminary, or unselected variations remain the exclusive property of MOD and may not be used, published, modified, reproduced, shared, or transferred to another service provider without MOD’s prior written approval. • The client’s right to use the final approved deliverable shall be governed by Section 4 of these Terms and shall only become effective after full payment of all related fees. • Editable files, source files, prompts, generation histories, templates, component libraries, and internal working files are not included unless expressly stated in a signed agreement. ### AI Output and Third-Party Tools • The client acknowledges that AI-assisted systems may generate content or elements that are similar to content generated for other users. • MOD does not guarantee that every AI-assisted element will be completely unique, capable of exclusive ownership, registrable as a trademark or industrial design, or eligible for copyright protection in every jurisdiction. • Trademark searches, copyright-clearance reviews, industrial-design searches, regulatory reviews, and formal legal opinions are not included unless expressly agreed in writing. • MOD may use third-party AI platforms, design tools, stock libraries, fonts, software, plugins, and other licensed services. Their use remains subject to the relevant provider’s terms, license conditions, availability, pricing, technical limitations, and policies. • MOD shall not be responsible for changes, restrictions, outages, removals, license modifications, or policy decisions made by third-party providers. • Third-party services may include artificial-intelligence platforms, design software, automation tools, stock-asset providers, fonts, plugins, analytics services, and content-generation systems. ### Confidentiality and Data • The client must not provide personal, sensitive, regulated, confidential, or legally restricted information for AI-assisted processing unless its use has been specifically disclosed, lawfully authorized, and separately agreed with MOD in writing. • MOD may refuse to process information through an AI-assisted system where MOD considers such processing inappropriate, insecure, unlawful, or inconsistent with third-party platform requirements. ### Review, Approval and Responsibility • The client is responsible for reviewing and approving all names, facts, figures, prices, dates, spelling, translations, claims, legal notices, contact details, and other content before publication or commercial use. • Written approval, publication, presentation, printing, uploading, distribution, or use of a deliverable shall constitute final acceptance by the client. • MOD shall not be responsible for errors contained in client-provided information, errors approved by the client, unauthorized modifications, use of rejected concepts, or use of deliverables outside their agreed purpose. • To the maximum extent permitted by applicable law, MOD’s total liability relating to a creative task shall not exceed the amount actually paid to MOD for that specific task. • The client shall indemnify and hold MOD, its owners, employees, contractors, and creative partners harmless from claims, damages, penalties, losses, and reasonable legal costs resulting from client-provided materials, unlawful instructions, unauthorized modifications, misleading claims, infringement of third-party rights, or use of deliverables contrary to these Terms. • MOD reserves the right to reject, suspend, or terminate any creative request that it reasonably considers unlawful, misleading, harmful, infringing, unethical, or inconsistent with MOD’s professional standards. 6. Payments, Subscriptions & Fees • All payments must be made according to agreed proposals, contracts, or subscription plans. • MOD may offer subscription-based services (including access to portals, dashboards, or hosted systems). • Subscription fees are billed on a recurring basis as agreed and must be paid to maintain access. • Late or missed payments may result in: o Suspension or restriction of access o Delayed service delivery • All payments are non-refundable unless explicitly stated otherwise in writing. ________________________________________ 7. Maintenance, Hosting & Operational Costs • Ongoing maintenance, hosting, and system availability are not included by default unless covered under a separate maintenance or support package. • Maintenance packages may include: o Hosting infrastructure o Server management o A predefined bundle of database usage (reads/writes) • MOD may provide an initial or bundled database usage allowance; however: o Any additional database, server, or third-party usage costs resulting from increased traffic or system growth shall be the sole responsibility of the client. • Failure to maintain an active maintenance package may result in: o Service downtime o System suspension o Loss of access to hosted environments ________________________________________ 8. Support & Response Policy • Clients may submit support requests through the designated support channels (e.g., client portal, email, or ticketing system). • MOD commits to responding within up to 48 hours from the time a support ticket is successfully submitted. • If the client does not receive a response within this timeframe, the client is responsible for escalating the matter by contacting their assigned account manager. • Response time refers to initial acknowledgment or reply, not full resolution of the issue. • Resolution timelines may vary depending on the complexity of the request and the client’s active service or maintenance agreement. ________________________________________ 9. Client Responsibilities Clients agree to: • Provide accurate and complete requirements • Deliver feedback, approvals, and content in a timely manner • Use delivered systems in compliance with all applicable laws and regulations MOD is not responsible for: • Delays caused by client inaction or miscommunication • Issues arising from third-party changes initiated by the client ________________________________________ 10. Partner Obligations Partners (including resellers, promoters, or software developers, designers , project managers) agree to: • Represent MOD services accurately and professionally • Avoid making unauthorized commitments on behalf of MOD • Adhere to agreed commercial structures, commissions, and scopes MOD reserves the right to suspend or terminate partnerships at its discretion. ________________________________________ 11. Acceptable Use You agree NOT to: • Use the Services for illegal, fraudulent, or harmful activities • Attempt to hack, reverse engineer, or disrupt systems • Upload or distribute malicious code Violations may result in immediate suspension, termination, and potential legal action. ________________________________________ 12. Data & Privacy • MOD may collect and process data necessary to operate the Services. • Reasonable security measures are implemented; however, absolute security cannot be guaranteed. • Unless otherwise agreed, clients are responsible for maintaining backups of their data. ________________________________________ 13. Service Availability • MOD does not guarantee uninterrupted or error-free operation of Services. • Downtime may occur due to maintenance, updates, or third-party dependencies. • MOD is not liable for service interruptions beyond its reasonable control. ________________________________________ 14. Limitation of Liability To the maximum extent permitted by law: • MOD shall not be liable for indirect, incidental, or consequential damages • Total liability shall not exceed the total amount paid by the client for the relevant service ________________________________________ 15. Confidentiality Each party will take reasonable steps to protect non-public information shared during the project and will not disclose it without consent, except where required by law or necessary to perform the agreed services. ________________________________________ 16. Marketing & Public Announcements By engaging with MOD Developments, the client or partner grants MOD a non-exclusive right to: • Announce the collaboration publicly • Display the client’s name, logo, and general project description on MOD’s: o Website o Social media platforms o Marketing materials Any detailed disclosures beyond general promotional use will require additional consent. ________________________________________ 17. Third-Party Services MOD may integrate or rely on third-party providers (e.g., hosting services, payment gateways, database). MOD is not responsible for: • Third-party service failures or downtime • External security breaches • Changes in third-party pricing or policies ________________________________________ 18. Termination MOD may suspend or terminate Services: • In case of violation of these Terms • Due to non-payment • At its discretion with reasonable notice Upon termination: • Access to systems may be revoked • Outstanding payments remain due ________________________________________ 19. Modifications MOD reserves the right to update or modify these Terms at any time. Continued use of the Services constitutes acceptance of any updated Terms. ________________________________________ 20. Governing Law These Terms are governed by the laws of the Arab Republic of Egypt, and any disputes shall fall under Egyptian jurisdiction. ________________________________________ 21.
